1. Acceptance of Terms

By accessing or using iStockLens (the "Service"), you acknowledge that you have read, understood, and agree to be bound by these Terms of Service (the "Terms"). If you do not agree to these Terms, do not use the Service.

These Terms govern your use of our data-driven financial education and analysis platform operated by iStockLens ("iStockLens", "we", "us", or "our"), including any content, functionality, and services offered through our website, apps, or APIs.

By using the Service, you also agree to our Privacy Policy.

You represent that you are at least 18 years old and have the legal capacity to enter into this agreement.

2. Description of Service

iStockLens provides data-driven, educational financial analysis and insights for publicly traded companies. The Service is not a registered investment adviser and does not provide personalized investment advice. Our Service may include, without limitation:

• Plain-English financial analysis summaries
• Valuation metrics and ratios
• Competitor analysis and market positioning
• Risk overviews and algorithmically generated signal labels (e.g., Buy/Hold/Avoid) based on financial data
• Access to financial data and charts provided by third-party data providers
• Algorithmically generated explanations, breakdowns, and insights

The Service is intended solely for informational and educational purposes and is not a substitute for professional financial advice.

3. User Accounts

3.1 Account Creation

To access certain features, you may be required to create an account. You agree to provide accurate, current, and complete information during registration and to update your information as needed to keep it accurate, current, and complete.

3.2 Account Security

You are responsible for maintaining the confidentiality of your login credentials and for all activities that occur under your account. You agree to notify us promptly of any unauthorized access or use of your account.

3.3 Account Termination

We may suspend, restrict, or terminate your account or access to the Service at any time, with or without notice, if we reasonably believe you have violated these Terms, misused the Service, or for any other reason in our sole discretion.

4. Acceptable Use

You agree to use the Service only for lawful purposes and in accordance with these Terms. You agree that you will not:

• Use the Service for any illegal, fraudulent, or unauthorized purpose
• Use the Service to provide regulated investment advice to others as a business or for compensation, unless you are properly licensed and do so in compliance with applicable law
• Attempt to gain unauthorized access to the Service, other user accounts, or our systems or networks
• Interfere with or disrupt the operation of the Service or any servers or networks connected to the Service
• Reverse engineer, decompile, disassemble, or attempt to derive the source code of any portion of the Service, except where permitted by law
• Use any automated system (including bots, scrapers, crawlers, or spiders) to access the Service without our express written permission
• Circumvent any security or access-control measures used by the Service
• Use the Service to transmit any harmful, offensive, or unlawful content
• Use the Service to build a competing product or service, or to benchmark the Service in a misleading way
• Share your account credentials with others or allow others to use your account

We reserve the right to investigate and take appropriate action (including legal action) against any use of the Service we believe violates these Terms.

5. Fair Usage Policy

Our Service, including unlimited plans, is subject to a Fair Usage Policy designed to ensure quality service for all users and prevent abuse.

5.1 Usage Limits

To maintain optimal service performance and prevent automated abuse, the following fair usage limits apply to all users:

• Hourly Limit: Maximum 20 report generations per hour
• Daily Limit: Maximum 100 report generations per day
• Monthly Guidance: We monitor usage exceeding 1,000 reports per month to ensure legitimate use

These limits are designed to accommodate normal research and investment analysis activities. The vast majority of users will never approach these limits during typical use.

5.2 Prohibited Usage

The following activities are prohibited and may result in account suspension or termination:

• Using automated scripts, bots, or scrapers to generate reports
• Reselling or redistributing generated reports commercially without authorization
• Sharing account credentials to circumvent usage limits
• Any activity intended to overwhelm or disrupt the Service

5.3 Enforcement

If you exceed fair usage limits, you may temporarily be unable to generate new reports until the limit resets (hourly limits reset each hour, daily limits reset at midnight UTC). We reserve the right to contact users with unusually high usage patterns and, in cases of suspected abuse, to suspend or terminate accounts.

6. Subscription and Payment

6.1 Pricing

We may offer free and paid subscription plans with different features, limits, or usage allowances. Pricing and plan details are displayed on our website and are subject to change. Any price changes will apply prospectively and, where required by law, we will notify you in advance.

6.2 Payment Terms

Payment is due at the time you purchase a paid subscription. We use third-party payment processors; by subscribing, you agree to their terms and privacy policies as well.

All fees are non-refundable except where required by applicable law or explicitly stated otherwise in writing.

You are responsible for any taxes, duties, or governmental charges associated with your subscription.

6.3 Subscription Renewal and Auto-Renewal

Paid subscriptions automatically renew at the end of each billing period (monthly or annually, depending on your plan) unless you cancel your subscription before the renewal date. Your account will be charged for renewal within 24 hours prior to the end of the current billing period at the same rate.

For Apple App Store subscriptions: Payment is charged to your Apple ID account at confirmation of purchase. You can manage and cancel your subscriptions by going to your device Settings → Apple ID → Subscriptions. Auto-renewal may be turned off at least 24 hours before the end of the current period. Any unused portion of a free trial period will be forfeited when you purchase a subscription.

For Google Play Store subscriptions: Payment is charged to your Google account. You can manage and cancel your subscriptions through the Google Play Store app or Google Play website.

If you cancel, you will retain access to the paid features until the end of your current billing period; you will not receive a pro-rated refund unless required by law.

6.4 Refund Policy

Due to the nature of digital services, all subscription fees are generally non-refundable once the service has been accessed or used.

However, we may offer refunds at our discretion in the following circumstances:

• Technical issues that prevent you from accessing the Service and cannot be resolved
• Accidental duplicate purchases
• Subscriptions purchased through the Apple App Store or Google Play Store are subject to their respective refund policies

EU/EEA Users: If you are located in the European Union or European Economic Area, you have a 14-day right of withdrawal from the date of purchase. However, by accessing and using the Service immediately after purchase, you acknowledge that you forfeit this right of withdrawal once the digital content has been fully provided.

To request a refund, please contact us at admin@istocklens.com with your account details and reason for the request.

7. Intellectual Property

7.1 Our Rights

The Service, including all software, text, graphics, logos, trademarks, tradenames, and other materials, is owned by or licensed to iStockLens and is protected by copyright, trademark, and other intellectual property laws.

7.2 License to You

Subject to your compliance with these Terms, we grant you a limited, non-exclusive, non-transferable, non-sublicensable license to access and use the Service for your personal or internal business use.

You may not use the Service or any content for any other purpose, including resale, redistribution, or commercial exploitation, without our prior written consent.

7.3 User Content

You retain ownership of any content, data, or information you submit or upload to the Service ("User Content").

By submitting User Content, you grant iStockLens a worldwide, non-exclusive, royalty-free license to use, reproduce, modify, adapt, publish, and display such User Content solely as necessary to operate, improve, and provide the Service.

7.4 Feedback

If you provide us with any feedback, suggestions, or ideas about the Service ("Feedback"), you agree that we may use such Feedback without restriction or compensation to you, and you waive any claim to ownership or compensation.

8. Disclaimers and Limitations

8.1 Investment Advice Disclaimer

The Service provides algorithmically generated analysis, labels, and educational content for informational purposes only.

We are not a registered investment adviser, broker-dealer, or financial planner.

The Service does not take into account your individual financial situation, objectives, risk tolerance, or needs.

Nothing on or provided through the Service shall be construed as a recommendation to buy, sell, or hold any security, or as an offer or solicitation of any kind. Signal labels such as "Buy," "Hold," and "Avoid" are algorithmically generated classifications based on publicly available financial data and are not personalized investment recommendations.

You are solely responsible for your investment decisions. You should consult with a qualified financial professional before making any investment decisions.

8.2 Algorithmic and Data Limitations

The analysis and insights generated by the Service rely on algorithms, models, and third-party data, which may be incomplete, outdated, or incorrect. Automated outputs may contain errors, omissions, or interpretations that are not accurate.

We make no representation or warranty that:

• Any particular result, performance, or outcome will be achieved
• The information is complete, reliable, or suitable for your specific purposes
• Market data, pricing, or financial metrics are real-time or perfectly accurate
• Past performance is indicative of future results

8.3 Service Availability

The Service is provided on an "as is" and "as available" basis.

We do not warrant that the Service will be uninterrupted, error-free, secure, or free from viruses or other harmful components. We may modify, suspend, or discontinue all or part of the Service at any time without liability.

9. Limitation of Liability

To the maximum extent permitted by applicable law, iStockLens and its affiliates, officers, directors, employees, agents, and licensors shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including but not limited to loss of profits, loss of data, loss of goodwill, or other intangible losses, arising out of or in connection with:

• Your access to or use of, or inability to access or use, the Service
• Any decisions or actions you take based on the analysis or information provided by the Service
• Any errors, inaccuracies, or omissions in any content or data
• Any unauthorized access to or use of our servers or systems
• Any bugs, viruses, trojan horses, or similar that may be transmitted to or through the Service

To the extent permitted by law, our total aggregate liability for any claim arising out of or relating to these Terms or the Service shall not exceed the amount you paid to iStockLens for the Service in the twelve (12) months preceding the event giving rise to the claim.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

10. Indemnification

You agree to defend, indemnify, and hold harmless iStockLens and its officers, directors, employees, contractors, and agents from and against any and all claims, damages, obligations, losses, liabilities, costs, or expenses (including legal fees) arising out of or related to:

• Your use of or access to the Service
• Your violation of these Terms
• Your violation of any law or third-party rights
• Any investment decisions or actions you take based on the Service

11. Privacy

Your privacy is important to us. Our collection and use of personal data in connection with the Service is described in our Privacy Policy, which forms part of these Terms. By using the Service, you consent to the collection and use of your information as described in the Privacy Policy.

12. Third-Party Services and Data

The Service may display, use, or rely on data and services provided by third parties (including market data providers, analytics tools, or payment processors).

We do not control and are not responsible for:

• The content, accuracy, or availability of third-party data
• The terms, privacy policies, or practices of third-party services

Your use of third-party services is at your own risk and is governed by their respective terms and policies.

12.1 Mobile Application Stores

If you download or access our Service through the Apple App Store or Google Play Store, you acknowledge and agree that:

• These Terms are between you and iStockLens only, and not with Apple Inc., Google LLC, or any app store operator
• Apple, Google, and their subsidiaries are third-party beneficiaries of these Terms and have the right to enforce them against you
• The app store operator has no obligation to provide maintenance, support, or warranty for the Service
• In-app purchases and subscriptions made through app stores are subject to that store's terms and refund policies
• Any claims relating to the Service (including product liability, legal compliance, or consumer protection claims) are solely between you and iStockLens

You must also comply with any applicable third-party terms when using our Service (for example, your wireless carrier's terms of service).

13. Governing Law

These Terms and any dispute arising out of or relating to them or the Service shall be governed by and construed in accordance with the laws of the Republic of Croatia, without regard to its conflict of law principles.

You agree to submit to the exclusive jurisdiction of the courts located in the Republic of Croatia to resolve any legal matter arising from these Terms or your use of the Service, subject to any mandatory arbitration or consumer-protection rules that may apply in your jurisdiction.

14. Changes to Terms

We may modify these Terms from time to time. When we do, we will update the "Last updated" date at the top of this page and, where required by law or where changes are material, provide additional notice (such as by email or in-app notification).

Your continued use of the Service after changes become effective constitutes your acceptance of the revised Terms. If you do not agree to the updated Terms, you must stop using the Service.

15. General Provisions

15.1 Entire Agreement

These Terms, together with our Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and iStockLens regarding your use of the Service. These Terms supersede any prior agreements or understandings, whether written or oral, relating to the subject matter herein.

15.2 Severability

If any provision of these Terms is found to be invalid, illegal, or unenforceable by a court of competent jurisdiction, such invalidity shall not affect the validity of the remaining provisions, which shall remain in full force and effect. The invalid provision shall be modified to the minimum extent necessary to make it valid and enforceable while preserving its original intent.

15.3 Waiver

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision. Any waiver of any provision of these Terms will be effective only if in writing and signed by iStockLens.

15.4 Assignment

You may not assign or transfer these Terms, or any rights or obligations hereunder, without our prior written consent. We may assign or transfer these Terms, in whole or in part, without restriction. Subject to the foregoing, these Terms will bind and inure to the benefit of the parties and their respective successors and permitted assigns.

15.5 Force Majeure

iStockLens shall not be liable for any delay or failure to perform resulting from causes outside its reasonable control, including but not limited to acts of God, natural disasters, war, terrorism, riots, embargoes, acts of civil or military authorities, fire, floods, accidents, strikes, shortages of transportation, facilities, fuel, energy, labor, or materials, or failures of third-party service providers or data sources.
